PLC company incorporation
A public limited company is a type of company which has
a share capital and where the liability of each member is limited to the
value of shares a member holds. Registering your company as a PLC
entails many benefits as well as more stringent capitalisation and
governance requirements:
- As a PLC you will be able to demonstrate financial strength to your clients and customers as well as your commitment to ensuring that your company is managed to the highest standard.
- You will have access to capital markets and be able to offer your company’s shares to the public, if you wish to do so. You don’t need to be listed on the stock exchange to be a public limited company but it is good to know that this possibility exists if you wish to take advantage of it in the future.
- You will have to secure a share capital of at least £50,000 or €65,600 and nominate at least two members and two directors. The directors can also be the company’s members and at least one of them must be an individual person.
- You will need to nominate at least one secretary to ensure your company complies with the Companies Act at all times.
Members of our team have necessary experience to
fulfil these functions and serve as your
company secretary.
To start your business activities you will also need to
obtain a Trading Certificate issued by Companies House. To ensure the
registration process is as short as possible and the documentation
complies with the legal requirements, we will:
- check if the name you have chosen for your company is available and in line with company name rules
- prepare company registration forms, memorandum, articles of association and statutory registers
- file the documents including Accounts and required fees at Companies House
- provide legal advice on the issues related to your company formation, obligations and duties
- forward the Certificate of Incorporation, statutory registers and six bound copies of the Memorandum and Articles of Association to your registered office address*.
We understand it’s difficult for you to know what types of documents you need for your company formation and how they should be prepared and filed. We are here to help you and make sure your business complies with the law from the start.
Our service enables you to save a lot of time you would have to spend looking through complicated legal regulations and helps you concentrate on what’s really important to you – expanding your business.
